A. Berg
Background:
Roy
focuses his practice on securities, corporate finance,
and transactional matters. He has substantial experience with venture capital
and private equity financings, other private placements, private
and public debt financings, and mergers and acquisitions for both
private and public companies. Additionally, Roy acts as outside
general counsel for several technology companies. In that
capacity, he provides day-to-day corporate governance advice,
negotiates technology licenses, and oversees all corporate
transactions. Roy regularly provides advice concerning employee
stock option and incentive programs, Hart-Scott-Rodino filings,
and compliance with the Sarbanes-Oxley Act.
Other Activities:
In addition to the
full time practice of law, Roy is a principal in in the venture
capital firm of Raven Ventures. Roy also has experience in public
service; Governor Christine Gregoire appointed Roy to the board of
directors of the Washington Economic Development Finance
Authority, and he served on the finance committee for Mike
McGavick's United States Senate campaign. Roy is the former
president of a FINRA broker-dealer, and was a tax specialist with
the New York City office of Ernst & Young. As an undergraduate
at U.C. Berkeley, Roy was a member of the University of
California’s intercollegiate swim team.
